TERMS OF USE FOR CODESY.IO LLC Introduction These Terms of Use (“Terms”) govern your use of the codesy.io website and add-on know as the Application (“Application”); by using this Application, you accept these Terms of Use in full, in addition to any supplemental terms applicable to any particular features, content and functionality of the Services (“Services”), which such supplemental terms are incorporated by reference into the Terms of Use. If you disagree with these Terms of Use or any part of these Terms of Use, you must not use this Application. By using the Services, Users agree to be bound by these Terms of Use, our Privacy Policy, all applicable laws and all conditions or policies referenced here (collectively, the "Terms"). codesy.io LLC (“codesy.io”) may amend the Terms at any time by posting a revised version of the Terms on our website or Application. Access to or continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the revised Terms.

You must be at least 18 years of age to use this Application. By using this Application and by agreeing to these Terms of Use you warrant and represent that you are at least 18 years of age. Users under 18 years of age are not eligible to use the Services without consent. Users between the ages of 13 and 17, can make bids and be involved in campaigns with the expressed consent and supervision of a parent or legal guardian who is at least 18 years old, provided such parent or legal guardian also agrees to be bound by the Terms and agrees to be responsible for such use of the Services. Users suspended from using the Services are not eligible to use the Services. codesy.io reserves the right to refuse use of the Services to anyone and to reject, cancel, interrupt, remove or suspend any bid, at any time for any reason without liability.

This Application uses cookies. By using this Application and agreeing to these Terms of Use, you consent to our codesy.io's use of cookies in accordance with the terms of codesy.io's privacy policy. You are responsible for preserving the security of your account information, including but not limited to your authentication identification. You will need to inform codesy.io immediately of any actual or suspected loss, theft, or unauthorized use of your credentials. codesy.io shall not be liable for any loss or damage arising from your failure to keep your account protected.

Definitions

Issue: Open Source software problem or bug posted on a public website. Offer: Amount of money a user contributes toward fixing an issue Ask: Amount of money a user requests to fix and issue Bid: The combination of a Offer and Ask made by a user Claim: Assertion by a user that an issue has been fixed. Payout: Money sent to user with an approved claim.

How the codesy.io Application Process Works

codesy.io is an Application that matches users asking for money with users offering money for fixing open source software issues. The process follows these steps:

  1. When viewing an issue on an open source project, users tell codesy how much they would contribute (‘offer’) to someone fixing the issue and how much they would want to receive (‘ask’) to fix the issue themselves.
  2. Users making offers acknowledge that a payment authorization will be made on their credit credit card.
  3. Codesy notifies users when the sum of amounts offered matches their asking amount.
  4. Users fix the bug and claim a payout by providing evidence of the fix.
  5. Codesy notifies all offerors of the claim and allows them to vote on it
  6. The Offerors review the work and vote whether or not that the Issue was claimed by the Fixer. The Issue is finalized, assuming it was approved, unless there is a vote that disapproves the work (although this is subject to change).
  7. Once the Issue is approved, the claimant can request a payout for the amount asked.
  8. Codesy charges the Offeror's credit card, this payment does not entitle the Offeror to receive any services or goods.

codesy.io is not obligated to provide refunds under any circumstance. Askers are responsible for producing the work on an Issue they offer. codesy.io does not hold funds on behalf of Offeror(s), and does not warrant or guarantee that Askers(s) will provide the Services they promise.

Users use the codesy.io Application at their own risk.

codesy.io reserves the right to eject, suspend, or remove a(n) Ask/Offer/Bid/Issue at any time, and for any reason.

Offerors are not permitted to create issues for illegal activities, to cause harm to people or property, or to scam others. If the Issue and bid is claiming to do the impossible or it's deceiving, do not post it. Users must comply with all applicable laws and regulations. Bidders shall not make any false or misleading statements in connection with their Issues, bids, Services or Claims.

Acceptable Use

You must not use this Application in any way that causes, or may cause, damage to the Application or impairment of the availability or accessibility of the Application; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

You must not use this Application to transmit or send unsolicited commercial communications.

You must not use this Application to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, worm, keystroke logger, Trojan horse, rootkit or other malicious computer software.

You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to this Application without codesy.io’s express written consent.

You must not use this Application for any purposes related to marketing without codesy.io’s express written consent.

Restricted Access

Access to certain areas of this Application may be restricted. codesy.io reserves the right to restrict access to other areas of this Application, or indeed this entire Application, at codesy.io’s discretion.

If codesy.io provides you with a user ID and password to enable you to access restricted areas of this Application or other content or services, you must ensure that the user ID and password are kept confidential.

codesy.io may disable your user ID and password in codesy.io’s sole discretion without notice or explanation.

Fees and Taxes

codesy.io charges a two and one half-percent (2.5%) fee (subject to change) for offers made by users. Charges for credit card processing fees are split between Offerors and claimants. codesy.io. charges two and one half-percent (2.5%) fee for payouts (subject to change). User(s) receive the face value of the payout, minus the codesy fees and any transaction fees charge by payout providers.

Non-U.S. banks may assess foreign exchange and/or other fees.

You are responsible for paying any third-party fees associated with your use of the Service, such as credit card and bank fees.

You are responsible for paying any taxes and withholdings associated with your use of the Application. Bidders, and not codesy.io, are responsible for compliance with all laws, as well as any taxes and withholding requirements, applicable to payments made to Users, including without limitation payroll tax, unemployment insurance, and worker compensation insurance payments. Bidders are also responsible for providing any required tax and other documentation to employees, independent contractors, tax authorities, or any other person.

User Content

In these Terms of Use, “your user content” means material (including without limitation text, images, audio material, video material and audio-visual material, computer programs, diagrams) that you submit to this Application, for whatever purpose.

You grant to codesy.io a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute your user content in any existing or future media. You also grant to codesy.io the right to sub-license these rights, and the right to bring an action for infringement of these rights.

Your user content must not be illegal or unlawful, must not infringe any third party's legal rights, and must not be capable of giving rise to legal action whether against you or codesy.io or a third party (in each case under any applicable law).

You must not submit any user content to the Application that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.

codesy.io reserves the right to edit or remove any material submitted to this Application, or stored on codesy.io’s servers, or hosted or published upon this Application.

Notwithstanding codesy.io’s rights under these Terms of Use in relation to user content, codesy.io does not undertake to monitor the submission of such content to, or the publication of such content on, this Application.

You retain your rights to any content you provide through the Application. When you provide content through the Application, you grant to codesy.io a non-exclusive, worldwide, royalty-free, perpetual, license (including the right to sublicense) to use, host, store, cache, reproduce, publish, display, perform, distribute, transmit, adapt, and modify the content, in all media now known or later developed.

This license permits codesy.io to operate, promote, and improve the Application, and to develop a new Application. It also permits the Application to provide, publish, or syndicate the content to third parties, for example by providing for the embedding of content on other services. Any User of the Application represents and warrants that he/she has all necessary rights and authority to grant this license to codesy.io. With respect to any third-party content that the User submit, you represent and warrant that you have a license to provide any and all content according to these Terms, or that your use is otherwise permissible, for example as fair use.

Non-Profit Use of Application

If any User is associated with a non-profit organization, soliciting payments on codesy.io may subject you to certain state laws regarding charitable solicitations, including various registration, reporting, and audit requirements. You are solely responsible for compliance with these and any other applicable law or regulation.

codesy.io makes no warranty or representation regarding the tax-exempt status of any Offeror or Fixer, or the tax-deductible status of any payment made via the Application. If use of this Application takes away or distinguishes the tax-exempt status of any organization, then codesy.io is not responsible for that event.

No Warranties

YOU UNDERSTAND AND AGREE THAT THIS APPLICATION IS PROVIDED “AS IS” WITHOUT ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED. CODESY.IO MAKES NO REPRESENTATIONS OR WARRANTIES IN RELATION TO THIS APPLICATION OR THE INFORMATION AND MATERIALS PROVIDED ON THIS APPLICATION.

Without prejudice to the generality of the foregoing paragraph, codesy.io does not warrant that:

1. This Application will be constantly available, or available at all; or 2. The information on this Application is complete, true, accurate or non-misleading. 3. Any of the “claims” that codesy.io provides shall work.

Nothing on this Application constitutes, or is meant to constitute, advice of any kind. If you require advice in relation to any legal, financial or medical matter you should consult an appropriate professional.

Payment processing

Payment processing services for claimants on codesy.io are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms or continuing to operate as a user on codesy.io, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of codesy.io enabling payment processing services through Stripe, you agree to provide codesy.io accurate and complete information about you and your business, and you authorize codesy.io to share it and transaction information related to your use of the payment processing services provided by Stripe.

codesy.io Copyright Policy

codesy.io respects the intellectual property rights of individuals and businesses, and we desire to offer a platform which contains no content that violates those rights. These Terms of Use requires that information posted by Users be accurate, lawful and not in violation of the rights of third parties. To promote these objectives, codesy.io requests that all Users that are informed of a breach of the United States Copyright laws notify codesy.io of any infringement so that we can make inquiries into any and all notifications.

Please note that whether or not we disable access to or remove content, codesy.io will may make a good faith attempt to forward the written notification, including the complainant’s contact information, to the User who posted the content and/or take other reasonable steps to notify the User that codesy.io has received notice of an alleged violation of intellectual property rights or other content violation. It is also our policy, in appropriate circumstances and in our discretion, to disable and/or terminate the accounts of any Users, or groups as the case may be, who infringe or repeatedly infringe the rights of others or otherwise post unlawful content.

Please note that any notice or counter-notice you submit must be truthful and must be submitted under penalty of perjury. A false notice or counter-notice may give rise to personal liability. You may therefore want to seek the advice of legal counsel before submitting a notice or a counter-notice.

1. Notice of Copyright Infringement:

Pursuant to the Digital Millennium Copyright Act (17 U.S.C. § 512), codesy.io has implemented procedures for receiving notification of claimed infringements. codesy.io has also designated an agent, through email, to receive notices of claimed copyright infringement. If you believe in good faith that your copyright has been infringed, you may contact codesy.io at founders@codesy.io and tell us these things: (1) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (2) A description of the copyrighted work that you claim has been infringed; (3) A description specifying the location on our website of the material that you claim is infringing; (4) Your email address and your mailing address and/or telephone number; (5) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (6) A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

2. Counter-Notice of Copyright Infringement:

If you believe that a notice of copyright infringement has been improperly submitted against you, you may submit a Counter-Notice, pursuant to Sections 512(g)(2) and (3) of the Digital Millennium Copyright Act. You may provide an email communication to codesy.io which contains: (1) Your physical or electronic signature; (2) Identification of the material removed or to which access has been disabled; (3) A statement under penalty of perjury that you have a good faith belief that removal or disablement of the material was a mistake or that the material was misidentified; (4) Your full name, your email address, your mailing address, and a statement that you consent to the jurisdiction of the Federal District court (i) in the judicial district where your address is located if the address is in the United States, or (ii) located in the Northern District of Oklahoma (Tulsa County), if your address is located outside the United States, and that you will accept service of process from the Complainant submitting the notice or his/her authorized agent.

3. Removal and Termination for Infringement:

codesy.io will permanently end, under appropriate situations, the accounts of Users who repeatedly use the Application to infringe copyrights. codesy.io also reserves the right, in its sole discretion, to remove allegedly or apparently infringing content without notice to you.

Limitations of Liability

CODESY.IO (INCLUDING ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUBCONTRACTORS OR LICENSORS) IS NOT LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES OR, IN ANY EVENT, FOR DAMAGES EXCEEDING THE LESSER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE FEES PAID TO CODESY.IO FOR THE TRANSACTION FROM WHICH THE CAUSE OF ACTION AROSE. THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF CODESY.IO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AND TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

FOR JURISDICTIONS THAT DO NOT ALLOW CODESY.IO TO LIMIT ITS LIABILITY: NOTWITHSTANDING ANY PROVISION OF THE TERMS, FOR USERS IN A JURISDICTION THAT HAS PROVISIONS SPECIFIC TO WAIVER OR LIABILITY THAT CONFLICT WITH THE FOREGOING, THEN CODESY.IO'S LIABILITY IS LIMITED TO THE SMALLEST EXTENT POSSIBLE BY LAW. SPECIFICALLY, IN THOSE JURISDICTIONS NOT ALLOWED, CODESY.IO DOES NOT DISCLAIM LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE OR THAT OF ANY OF ITS OFFICERS, EMPLOYEES OR AGENTS; OR (B) FRAUDULENT MISREPRESENTATION OR INTENTIONAL MISCONDUCT; OR (C) ANY LIABILITY WHICH IT IS NOT LAWFUL TO EXCLUDE EITHER NOW OR IN THE FUTURE.

CODESY.IO WILL NOT BE LIABLE TO ANY USER, INDIVIDUAL, OR ORGANIZATION (WHETHER UNDER THE LAW OF CONTACT, THE LAW OF TORTS OR OTHERWISE) IN RELATION TO THE CONTENTS OF, OR USE OF, OR OTHERWISE IN CONNECTION WITH, THIS APPLICATION:

1. TO THE EXTENT THAT THE APPLICATION IS PROVIDED FREE-OF-CHARGE, FOR ANY DIRECT LOSS; 2. FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL LOSS; OR 3. FOR ANY BUSINESS LOSSES, LOSS OF REVENUE, INCOME, PROFITS OR ANTICIPATED SAVINGS, LOSS OF CONTRACTS OR BUSINESS RELATIONSHIPS, LOSS OF REPUTATION OR GOODWILL, OR LOSS OR CORRUPTION OF INFORMATION OR DATA; 4. FOR ANY CONTRIBUTION TO A CLAIM THAT GOES UNFUNDED; 5. ANY PROGRAM OR PROGRAMS THAT ARE CREATED THROUGH THE USE OF THE APPLICATION, 6. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APPLICATION; 7. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APPLICATION, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER PARTICIPANTS OR THIRD PARTIES; 8. ANY CONTENT OBTAINED FROM THE APPLICATION; OR (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

Reasonableness

By using this Application, you agree that the exclusions and limitations of liability set out in this Application disclaimer are reasonable. If you do not think they are reasonable, you must not use this Application.

Other Parties

You accept that, as a limited liability entity, codesy.io has an interest in limiting the personal liability of its officers and employees. You agree that you will not bring any claim personally against codesy.io’s officers or employees in respect of any losses you suffer in connection with the Application.

Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in this Application disclaimer will protect codesy.io’s officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as codesy.io.

Unenforceable Provisions

If any provision of these Terms of Use is, or is found to be, unenforceable under applicable law, that will not affect the enforceability of the other provisions of these Terms of Use.

Indemnity

You hereby indemnify codesy.io and its officers, directors, employees, contractors and agents, and you undertake to keep codesy.io indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal/attorney costs and any amounts paid by codesy.io to a third party in settlement of a claim or dispute on the advice of codesy.io’s legal advisers) incurred or suffered by codesy.io arising out of any breach by you of any provision of these Terms of Use, or arising out of any claim that you have breached any provision of these Terms of Use.

Breaches of these Terms of Use

Without prejudice to codesy.io’S other rights under these Terms of Use, if you breach these Terms of Use in any way, codesy.io may take such action as codesy.io deems appropriate to deal with the breach, including suspending your access to the Application, prohibiting you from accessing the Application, blocking computers using your IP address from accessing the Application, contacting your internet service provider to request that they block your access to the Application and/or bringing court proceedings against you.

Variation

codesy.io may revise these Terms of Use from time-to-time. Revised Terms of Use will apply to the use of this Application from the date of the publication of the revised Terms of Use on this Application. Please check this page regularly to ensure you are familiar with the current version.

Assignment

codesy.io may transfer, sub-contract or otherwise deal with codesy.io’s rights and/or obligations under these Terms of Use without notifying you or obtaining your consent.

You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these Terms of Use.

Export Compliance

Users agree to comply with all laws, restrictions and regulations relating to the export of products and information. For purposes of the U.S. Export Administration Act ("Export Laws"), each User states that such User is: (a) not a citizen, or otherwise located within, an embargoed nation (including without limitation the Office of Foreign Assets Control ("OFAC") comprehensively embargoed countries of Iran, Syria, Cuba, North Korea and Sudan and certain Specially Designated Nationals listed by OFAC as updated from time to time and (b) not otherwise prohibited under the Export Laws from receiving such products and information. Funds may be frozen and/or turned over to the applicable governmental enforcement agency if an Issue/Bid is deemed to be in violation of Export Laws.

Severability

If a provision of these Terms of Use is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

Changes to Terms

codesy.io may alter the Term of Use at any time, so please review them frequently. If a material change is made, codesy.io may notify Users in the Application, by email or other electronic communication, by means of a notice on the Application, or other places we think appropriate. A "material change" will be determined at codesy.io's sole discretion, in good faith, and using common sense and reasonable judgment.

Entire Agreement

These Terms of Use, along with the Privacy Policy, constitute the entire agreement between you and codesy.io in relation to your use of this Application, and supersede all previous agreements in respect of your use of this Application.

Law and Jurisdiction

These Terms of Use will be governed by and construed in accordance with Oklahoma and any disputes relating to these Terms of Use will be subject to the [non-]exclusive jurisdiction of the courts of Oklahoma.

This privacy policy discloses the privacy practices for Codesy.io LLC. This privacy policy applies solely to information collected by this mobile application and/or website. It will notify you of the following:

  1. What personally identifiable information is collected from you through the web site, how it is used and with whom it may be shared.
  2. What choices are available to you regarding the use of your data.
  3. The security procedures in place to protect the misuse of your information.
  4. How you can correct any inaccuracies in the information.

Information Collection, Use, and Sharing

We are the sole owners of the information collected on this site. We only have access to/collect information that you voluntarily give us via email, through the application, or any other direct contact from you. We will not sell or rent this information to anyone.

We will use your information to respond to you, regarding the reason you contacted us. We will not share your information with any third party outside of our organization, other than as necessary to fulfill your request, e.g. to fulfill the purpose of the application.

Unless you ask us not to, we may contact you via email or through the application in the future to tell you about specials, new products or services, or changes to this privacy policy.

You may opt out of any future contacts from us at any time. You can do the following at any time by contacting us via the email address or phone number, or any other contact information given on our application and/or website:

Security

We take precautions to protect your information. When you submit sensitive information via the application and/or website, your information is protected both online and offline.

Wherever we collect sensitive information (such as credit card data), that information is encrypted and transmitted to us in a secure way. You can verify this by looking for a closed lock icon at the bottom of your web browser, or looking for "https" at the beginning of the address of the web page.

While we use encryption to protect sensitive information transmitted online, we also protect your information offline. Only employees who need the information to perform a specific job (for example, billing or customer service) are granted access to personally identifiable information. The computers/servers in which we store personally identifiable information are kept in a secure environment.

Updates

Our Privacy Policy may change from time to time and all updates will be posted through the application or on our website. We retain the right to change our privacy policy at any time.

If you feel that we are not abiding by this privacy policy, you should contact us immediately.

Registration

In order to use this application and/or website, a user must first complete the registration form. During registration a user is required to give certain information (such as name and email address). This information is used to contact you about the products/services on our site in which you have expressed interest. At your option, you may also provide demographic information (such as gender or age) about yourself, but it is not required.

Cookies

We may use "cookies" on our website. A cookie is a piece of data stored on a site visitor's hard drive to help us improve your access to our site and identify repeat visitors to our site. For instance, when we use a cookie to identify you, you would not have to log in a password more than once, thereby saving time while on our site. Cookies can also enable us to track and target the interests of our users to enhance the experience on our site. Usage of a cookie is in no way linked to any personally identifiable information on our site.

Sharing

We share aggregated demographic information with our partners and advertisers. This is not linked to any personal information that can identify any individual person. We may use an outside company to complete orders, and a credit card processing company to bill users for goods and services. These companies do not retain, share, store or use personally identifiable information for any secondary purposes beyond filling your order.

We may partner with another party to provide specific services. When the user signs up for these services, we will share names, or other contact information that is necessary for the third party to provide these services. These parties are not allowed to use personally identifiable information except for the purpose of providing these services.
